Terms & Conditions

These Terms of Service and Conditions of Use ("Terms") constitute a legally binding agreement between you and Breezary ("Breezary," "we," "us," or "our"). These Terms govern your access to and use of https://breezary.com/, including its webpages, online store, content, functionality, customer account features, communications, and services made available through the website (collectively, the "Site").

These Terms apply whether you access the Site as a visitor, customer, account holder, purchaser, reviewer, contributor, or on behalf of a business or other organization.

Your use of the Site is also subject to our Privacy Policy and other policies made available on the Site. Please review these Terms carefully before accessing the Site or purchasing products from us.

BY ACCESSING OR USING THE SITE, CREATING AN ACCOUNT, SUBMITTING INFORMATION, OR PLACING AN ORDER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU SHOULD NOT ACCESS OR USE THE SITE.

THESE TERMS CONTAIN IMPORTANT PROVISIONS CONCERNING LIMITATIONS OF LIABILITY, A CLASS ACTION WAIVER, AND A WAIVER OF THE RIGHT TO A JURY TRIAL, TO THE EXTENT PERMITTED BY APPLICABLE LAW.

1. Changes to These Terms

We may update, revise, supplement, or otherwise modify these Terms from time to time. When changes are made, we may update the "Last Updated" date displayed at the top of this page and, where appropriate, provide additional notice through the Site or other reasonable means.

Unless otherwise required by applicable law, revised Terms become effective when posted on the Site. Your continued use of the Site after revised Terms become effective constitutes your acceptance of the revised Terms.

You should review these Terms periodically so that you understand the terms that apply to your use of the Site.

2. Changes to the Site

We may modify, update, suspend, replace, restrict, or discontinue any part of the Site, including features, product listings, product specifications, services, content, account functionality, promotions, or other functionality, at any time and without prior notice except where notice is required by law.

To the fullest extent permitted by law, Breezary will not be liable solely because all or part of the Site is temporarily unavailable.

4. Eligibility

You must be at least 18 years old, or the applicable age of majority in your jurisdiction, to create an account or place an order unless a parent, guardian, or other legally authorized individual completes the transaction on your behalf.

You may not use the Site or purchase products through the Site if:

• You do not agree to these Terms;
• You are not legally capable of entering into the applicable transaction;
• Your use of the Site is prohibited by applicable law; or
• You have previously been prohibited or suspended from using the Site and have not been authorized to return.

If you use the Site or purchase products on behalf of a company, business, organization, property owner, contractor, designer, reseller, or other entity, you represent that you have authority to bind that entity to these Terms.

5. Access to the Site and Account Security

Certain portions of the Site may permit or require you to create an account or provide information. You agree that information you submit will be accurate, current, and complete.

You are responsible for activity conducted through your account to the extent permitted by law. You should notify us promptly if you believe that your account or credentials have been accessed, compromised, or used without authorization.

We may disable, restrict, or suspend an account when reasonably necessary to protect the Site, investigate suspected fraud or abuse, enforce these Terms, comply with law, or protect Breezary, our customers, or third parties.

Information collected through the Site is handled in accordance with our Privacy Policy.

By accessing or using the Site, you acknowledge that information may be collected, processed, used, stored, and disclosed as described in our Privacy Policy and as otherwise permitted by applicable law.

7. Intellectual Property Rights

Unless otherwise indicated, the Site and its contents are owned by, licensed to, or otherwise lawfully used by Breezary and are protected by applicable copyright, trademark, trade dress, patent, and other intellectual property laws.

Protected materials may include, without limitation:

• Website text and written content;
• Product descriptions and specifications;
• Photographs and product images;
• Graphics, illustrations, diagrams, icons, and artwork;
• Videos and instructional materials;
• Product manuals and downloadable documents;
• Logos, trademarks, trade names, and branding;
• Page layouts and design elements;
• Software, code, interfaces, and functionality; and
• Other content available through the Site.

Subject to these Terms, Breezary grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Site for lawful personal use and legitimate business purposes connected with evaluating, purchasing, installing, using, or obtaining support for Breezary products.

Except where expressly authorized by Breezary or permitted by applicable law, you may not reproduce, republish, distribute, sell, license, publicly display, commercially exploit, modify, create derivative works from, systematically download, scrape, or otherwise use Site content for unauthorized purposes.

Temporary storage by your browser and reasonable printing or downloading for personal use, product evaluation, installation, recordkeeping, or other legitimate non-infringing purposes is permitted.

Nothing in these Terms transfers ownership of any Breezary intellectual property to you.

8. Breezary Trademarks

The Breezary name, logo, branding, product names, graphics, and other identifiers displayed on the Site may constitute trademarks, service marks, trade dress, or other proprietary rights of Breezary or their respective owners.

You may not use such marks in a manner that falsely suggests sponsorship, affiliation, approval, partnership, or endorsement without prior authorization.

Third-party company names, trademarks, product names, payment marks, and logos appearing on the Site remain the property of their respective owners.

9. Copyright Complaints

Breezary respects intellectual property rights. If you believe that material appearing on our Site infringes a copyright that you own or are authorized to enforce, you may send us a written notice.

Your notice should include sufficient information to identify:

• The copyrighted work you believe has been infringed;
• The material you believe is infringing and its location on the Site;
• Your name and contact information;
• A statement explaining your good-faith belief that the disputed use is unauthorized;
• A statement that the information provided is accurate and that you are the copyright owner or authorized to act on behalf of the owner; and
• Your physical or electronic signature.

10. User Information

When you interact with the Site, you may provide information such as your name, email address, telephone number, billing information, shipping information, account credentials, order details, product questions, reviews, or other information.

You agree not to knowingly provide false, fraudulent, misleading, or unauthorized information.

You are responsible for maintaining the accuracy of information associated with your account and orders.

11. User Contributions

The Site may allow customers or other users to submit or publish reviews, ratings, questions, answers, photographs, videos, comments, feedback, testimonials, or other content ("User Contributions").

You remain responsible for User Contributions that you submit.

By submitting User Contributions to Breezary or through functionality intended for public display, you grant Breezary and its service providers a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, reproduce, store, adapt, format, publish, display, distribute, and otherwise use those User Contributions for operating, promoting, improving, or supporting Breezary and its products and services, subject to applicable law and our Privacy Policy.

This license does not give Breezary ownership of your underlying intellectual property, except where you separately agree otherwise.

You represent that:

• You own or have permission to submit the User Contribution;
• Your submission does not infringe another person's intellectual property or privacy rights;
• Your submission does not contain unlawful or malicious material; and
• Your submission complies with these Terms.

12. User Content Standards

User Contributions must comply with applicable law and must not:

• Contain unlawful, fraudulent, defamatory, threatening, harassing, or abusive material;
• Contain obscene or unlawful sexually explicit material;
• Promote unlawful violence or illegal activity;
• Infringe copyrights, trademarks, patents, trade secrets, privacy rights, or other rights;
• Misrepresent your identity or affiliation with another person or organization;
• Contain malicious software, harmful code, or security threats;
• Contain unauthorized advertising, spam, or solicitation;
• Knowingly contain materially false or deceptive claims;
• Falsely imply that Breezary has approved or endorsed your statements; or
• Otherwise violate these Terms.

13. Monitoring and Enforcement

We may, but are not obligated to, monitor User Contributions.

Where permitted by law, we may:

• Remove or decline to publish User Contributions;
• Restrict content that violates these Terms;
• Investigate suspected misuse of the Site;
• Suspend or terminate accounts associated with violations;
• Preserve information when reasonably necessary for security or legal purposes; and
• Cooperate with valid legal requests or law enforcement requirements.

We do not guarantee that every User Contribution will be reviewed before publication or that objectionable content will always be removed immediately.

14. Feedback and Suggestions

We welcome feedback about Breezary, our products, and the Site.

If you voluntarily provide general suggestions, comments, ideas, or recommendations concerning our products or services, you agree that we may use that feedback without restriction or compensation, except where otherwise agreed in writing.

Please do not send confidential business information, proprietary designs, patentable ideas, or other material that you do not intend us to use without entering into a separate written agreement.

15. Social Media and Third-Party User Content

Customers may post photographs, videos, reviews, or other content concerning Breezary products on social media or other third-party platforms.

If Breezary wishes to reuse content from a third-party platform, we may request your permission through that platform, email, direct message, or another reasonable method.

When you expressly authorize Breezary to use such content, the scope of that authorization may include use on our Site, social media channels, advertising, emails, product pages, promotional materials, and other marketing communications, subject to the terms of the permission provided to you.

16. Accuracy of Site Information

We make reasonable efforts to provide accurate product information. However, product descriptions, photographs, specifications, dimensions, colors, finishes, availability, prices, installation information, technical details, compatibility information, packaging, and other content may occasionally contain errors, omissions, or outdated information.

Product color and appearance may vary depending on lighting, photography, production variation, display settings, and the device used to view the Site.

Where multiple sizes, finishes, models, or configurations are offered, specifications may vary by option. Customers should review the specific product page, product documentation, installation manual, and order details applicable to the selected model.

We reserve the right to correct errors or omissions and update product information without prior notice.

17. Pricing Errors and Incorrect Information

Despite reasonable efforts, a product may occasionally be listed with an incorrect price, description, promotion, availability status, shipping charge, specification, or other information.

Where permitted by applicable law, we reserve the right to correct such errors and to decline, cancel, or modify an affected order before fulfillment.

If an order is canceled after payment has been collected, we will arrange an appropriate refund to the original payment method or otherwise as required by applicable law.

18. Prohibited Uses

You may use the Site only for lawful purposes. You agree not to:

• Use the Site in violation of any applicable federal, state, local, or international law;
• Use the Site to facilitate fraud, deception, or other unlawful conduct;

• Impersonate Breezary, a Breezary representative, another user, or another organization;
• Use another person's account without authorization;
• Send unauthorized spam or unsolicited communications through the Site;
• Conduct systematic scraping, data mining, harvesting, extraction, or automated collection of Site content where such activity is prohibited by law or has not been authorized by Breezary;
• Copy, republish, resell, sublicense, or commercially exploit Site content except as expressly authorized;
• Submit fraudulent orders or transactions;
• Use stolen or unauthorized payment information;
• Attempt to manipulate product reviews, promotions, discounts, or referral programs;
• Use the Site in a manner intended to damage Breezary or other Site users; or
• Assist another person in carrying out any prohibited activity.

We may restrict or terminate access when we reasonably believe a user has engaged in prohibited activity.

19. Orders for Products

Order Submission

When you place an order through the Site, you are submitting an offer to purchase the products identified in your order subject to these Terms and any additional conditions displayed during checkout.

Receiving an order confirmation does not necessarily mean that we have finally accepted or fulfilled your order.

We reserve the right, where permitted by law, to accept, decline, cancel, or limit an order for reasons including suspected fraud, payment problems, pricing errors, inventory limitations, shipping restrictions, product discontinuation, or other legitimate business reasons.

Order Verification

We may request additional information reasonably necessary to verify an order, payment, billing address, shipping information, identity, or other transaction details.

Failure to provide requested verification may result in delayed processing or cancellation of the order.

Order Cancellation

Cancellation cannot be guaranteed after an order has entered processing, fulfillment, or shipment.

20. Product Availability

Product availability displayed on the Site is informational and may change. An item shown as available may become unavailable before an order is processed or fulfilled.

We may discontinue products, finishes, blade configurations, lighting options, sizes, replacement components, accessories, or other variations without prior notice.

We will not substitute a materially different product for an ordered product without appropriate authorization where required.

Prices displayed on the Site may change at any time before an order is placed.

Unless otherwise stated, the price applicable to your purchase will be the price displayed during checkout when you submit the order.

Product prices may not include applicable taxes, shipping, delivery surcharges, or other charges unless expressly stated.

Applicable charges will normally be displayed before you complete your purchase.

22. Discounts, Coupons, and Promotions

Breezary may offer coupons, promotional codes, sale pricing, bundles, free-shipping offers, or other promotions from time to time.

Promotions may be subject to separate terms, qualifying products, minimum purchase amounts, expiration dates, geographic restrictions, quantity limitations, inventory availability, or other restrictions.

Unless expressly stated otherwise:

• Promotional offers cannot be redeemed for cash;
• Offers may not be combined;
• Promotions may not apply to previous purchases;
• Promotions may be limited to eligible products or customers;
• Returns may reduce or eliminate promotional savings associated with an order; and
• Promotional offers may be changed or discontinued where permitted by law.

23. Payment

Payment methods available to you will be displayed during checkout.

Payment processing may be provided by third-party payment processors. By submitting payment information, you represent that you are authorized to use the selected payment method and authorize the applicable processor to process the transaction.

24. Third-Party Payment and Financing Services

Those services are provided by the applicable third party and may be subject to separate eligibility requirements, fees, credit decisions, privacy practices, and contractual terms.

Breezary does not control a third-party provider's approval process or separate contractual relationship with you.

25. Taxes

Applicable sales, use, transaction, or similar taxes may be calculated and collected based on the transaction, shipping destination, applicable tax rules, and information available at checkout.

Tax-exempt purchasers are responsible for providing any documentation reasonably required to establish an applicable exemption.

26. Shipping and Delivery

Shipping options, estimated delivery periods, shipping charges, and applicable restrictions may be displayed on the Site or during checkout.

Any delivery date or delivery period provided before shipment is an estimate unless expressly stated otherwise.

Delivery may be affected by carrier delays, weather, address issues, transportation disruptions, inventory conditions, holidays, high-volume periods, or other circumstances outside Breezary's reasonable control.

Customers are responsible for providing a complete and accurate shipping address.

27. Returns and Refunds

Returns, exchanges, cancellations after shipment, and refunds are governed by our applicable return and refund policies.

Please review our Refund Policy before completing your purchase.

Refund eligibility, return windows, condition requirements, shipping charges, restocking requirements, exclusions, and refund processing may vary depending on the circumstances described in that policy.

Nothing in these Terms limits any non-waivable consumer rights provided by applicable law.

28. Product Installation and Use

Ceiling fans, lighting products, electrical components, and related products must be installed and used in accordance with the instructions, warnings, specifications, manuals, electrical requirements, mounting requirements, and safety information applicable to the particular product.

Installation requirements can differ depending on the model, ceiling type, ceiling height, electrical box, mounting surface, location rating, wiring configuration, building structure, control system, and applicable codes.

Where electrical work, structural work, specialized equipment, permits, inspections, or licensed installation are required by applicable law or appropriate for the installation, customers should use appropriately qualified professionals.

Product information provided on the Site is not a substitute for applicable building codes, electrical codes, professional installation requirements, or model-specific installation instructions.

29. Product Specifications and Compatibility

Customers are responsible for reviewing the specifications applicable to the exact model, size, finish, and configuration selected before purchase and installation.

Matters that may require verification include, where applicable:

• Blade span;
• Overall installed height;
• Downrod compatibility;
• Ceiling mounting requirements;
• Sloped-ceiling compatibility;
• Electrical requirements;
• Lighting configuration;
• Remote-control compatibility;
• Location or moisture rating;
• Clearance requirements;
• Replacement part compatibility; and
• Other model-specific installation requirements.

30. Product Warranties

Certain products may be covered by a separate limited warranty.

Where a product-specific warranty exists, the terms of that warranty control warranty coverage, exclusions, duration, available remedies, and claim requirements.

Nothing in these Terms expands or reduces an express written product warranty except where permitted by applicable law.

31. Third-Party Websites and Services

The Site may contain links to websites, platforms, applications, payment services, social networks, video services, delivery providers, or other services operated by third parties.

Third-party services are not controlled by Breezary. Their services may be governed by separate terms and privacy practices.

A link or integration does not necessarily mean that Breezary endorses every statement, product, practice, or service offered by that third party.

Your interactions with third-party services are between you and the applicable third party, except to the extent Breezary expressly assumes responsibility under a separate agreement or applicable law.

32. Connected, Remote, or Smart Features

Certain Breezary products may include or support remote controls, wireless controls, applications, smart-home integrations, or other connected functionality.

Where connected functionality depends on third-party software, platforms, networks, devices, or services, use of those services may be subject to third-party terms.

Compatibility can depend on product model, hardware version, software version, mobile device, network configuration, geographic availability, and the third-party platform being used.

Unless expressly stated in a product warranty, Breezary does not guarantee that a third-party platform or integration will remain available indefinitely or remain compatible after third-party updates.

33. Email and Marketing Communications

If you subscribe to promotional email communications, Breezary may send you information regarding products, promotions, availability, content, or other marketing communications in accordance with applicable law.

You may unsubscribe from promotional emails using the unsubscribe mechanism included in the message or another method made available by us.

Transactional and service-related communications concerning an order, account, warranty request, security issue, or customer-support matter may still be sent when necessary.

34. SMS, MMS, RCS, and Text Communications

If Breezary offers text-message communications and you affirmatively opt in, you consent to receive the categories of messages described at the time of enrollment at the mobile number you provide.

Depending on the program, messages may include order information, service notifications, reminders, product information, promotional messages, or other communications permitted by your consent and applicable law.

Message frequency may vary. Message and data rates may apply according to your wireless plan.

You represent that you are authorized to provide the telephone number used for enrollment.

Where applicable, instructions for stopping text communications will be provided in the relevant message or enrollment terms. You may also contact: support@breezary.com.

Consent to receive promotional text messages is not a condition of purchasing a product unless expressly permitted by applicable law.

35. Linking to the Site

You may link to publicly available pages on the Site in a lawful and fair manner, provided that the link does not falsely suggest sponsorship, partnership, approval, or endorsement by Breezary.

You may not frame or reproduce substantial portions of the Site in a way that misrepresents ownership or origin or otherwise violates these Terms or applicable law.

36. Compliance with Laws

You agree to comply with laws and regulations applicable to your use of the Site, your transactions with Breezary, and your installation or use of products.

Breezary may cooperate with valid governmental, regulatory, judicial, or law-enforcement requests as required or permitted by law.

37. Geographic Availability

Breezary operates the Site from the United States.

The Site may be accessible from locations where certain products, services, promotions, payment methods, shipping options, warranties, or Site features are unavailable.

Availability of the Site in a location does not necessarily mean that every product or service is offered or legally available in that jurisdiction.

Users accessing the Site from outside the locations we actively serve are responsible for complying with laws applicable to their access and use.

38. Disclaimer of Warranties Regarding the Site

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS GENERAL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

BREEZARY DISCLAIMS WARRANTIES REGARDING THE OPERATION OF THE SITE OR GENERAL SITE CONTENT TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

This section does not eliminate or modify any express product warranty that Breezary separately provides for a particular product.

We do not warrant that:

• The Site will always be available or uninterrupted;
• Every Site error will be corrected immediately;
• Every item of information will always be current or complete;
• The Site will be free of every harmful component or security threat; or
• The Site will satisfy every user's particular requirements.

Some jurisdictions do not permit certain warranty disclaimers, so some of these limitations may not apply to you.

39. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BREEZARY AND ITS AFFILIATES, SERVICE PROVIDERS, EMPLOYEES, OFFICERS, DIRECTORS, REPRESENTATIVES, CONTRACTORS, LICENSORS, SUPPLIERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE.

This may include, where legally permitted, loss of profits, revenue, business opportunity, data, goodwill, or other intangible losses arising from use of the Site.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING RIGHTS OR REMEDIES THAT APPLICABLE CONSUMER LAW MAKES NON-WAIVABLE.

Product-related rights and remedies may also be governed by the applicable product warranty, return policy, consumer protection law, and other mandatory legal requirements.

40. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Breezary and its affiliates, officers, directors, employees, contractors, agents, service providers, licensors, suppliers, successors, and assigns from claims, liabilities, losses, judgments, damages, costs, and reasonable legal fees arising from or relating to:

• Your material violation of these Terms;
• Your unlawful misuse of the Site;
• Your User Contributions;
• Your infringement of another person's rights; or
• Your fraud, intentional misconduct, or unlawful acts.

This provision will be interpreted only to the extent permitted by applicable law.

41. Suspension and Termination

We may suspend or terminate access to all or part of the Site when reasonably necessary because of a material violation of these Terms, suspected fraud, security concerns, unlawful conduct, misuse of the Site, or legal requirements.

Termination of Site access does not automatically eliminate obligations or rights arising from transactions completed before termination.

Provisions that by their nature should survive termination—including intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, and dispute provisions—will survive to the extent permitted by law.

42. Governing Law

To the extent permitted by applicable law, these Terms and disputes arising from or relating to these Terms or the Site will be governed by the laws of the State of California, without regard to conflict-of-laws principles.

Nothing in this section deprives a consumer of protections that cannot legally be waived under the laws applicable to that consumer.

43. Jurisdiction and Venue

To the extent permitted by applicable law and except where another forum is required by law, the parties agree that legal proceedings arising out of or relating to these Terms or the Site may be brought in the applicable state or federal courts located in or serving Sacramento County, California.

Each party consents to personal jurisdiction in those courts to the extent such consent is enforceable.

44. Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND BREEZARY AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

This provision does not apply where applicable law prohibits enforcement of such a waiver.

45. Waiver of Jury Trial

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN A LEGAL PROCEEDING ARISING DIRECTLY FROM OR RELATING TO THESE TERMS, THE SITE, OR TRANSACTIONS GOVERNED BY THESE TERMS.

This waiver applies only to the extent it is valid and enforceable under applicable law.

46. Time Limit for Bringing Claims
